Please read these Terms of Service carefully before using IdeaSprout's products or services. These terms constitute a legally binding agreement between you and IdeaSprout.
1. Acceptance of Terms
By accessing or using IdeaSprout's website, software products, or services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services. These terms apply to all users including visitors, customers, and trial users.
2. Description of Services
IdeaSprout provides ready-to-deploy business software products including Customer Support, IT Support, Human Resources, Quality Assurance, Legal & Compliance, and Fleet Management modules, as well as custom software development services. Features and availability may change over time with reasonable notice.
3. Account Registration & Responsibilities
To use our services, you must register an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.
4. Acceptable Use
You agree not to: use our services for any unlawful purpose; attempt to gain unauthorised access to any part of our systems; reverse-engineer, decompile, or copy our software; upload malicious code or interfere with service availability; resell or sublicense our services without written permission. Violation may result in immediate account termination.
5. Intellectual Property
All software, content, trademarks, and materials on the IdeaSprout platform are owned by or licensed to IdeaSprout. You are granted a limited, non-exclusive, non-transferable licence to use our services for your internal business purposes only. Nothing in these terms transfers ownership of any intellectual property to you.
6. Payment & Billing
Paid plans are billed monthly or annually as selected. All fees are in INR unless otherwise stated. Payments are processed securely via our payment partners. Prices may change with 30 days' notice. Failure to pay may result in service suspension. Taxes (GST) are applied as required by Indian law.
7. Data Ownership
You retain full ownership of all data you input into IdeaSprout. We do not claim any rights over your business data. Upon account termination, we will provide a data export in standard formats within 7 business days. After 30 days post-termination, your data will be permanently deleted from our systems.
8. Service Availability & SLA
We target 99.5% uptime for all production services. Planned maintenance will be communicated at least 24 hours in advance. We are not liable for downtime caused by third-party infrastructure, force majeure events, or actions outside our reasonable control.
9. Limitation of Liability
To the maximum extent permitted by law, IdeaSprout's total liability for any claim arising from these terms or use of our services shall not exceed the amount you paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost profits or data loss.
10. Termination
Either party may terminate the agreement with 30 days' written notice. We may terminate immediately if you breach these terms. Upon termination, your access to the services will cease and we will process your data export request as described in Section 7.
11. Governing Law
These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India. We encourage resolving disputes amicably before pursuing legal action.
12. Changes to Terms
We may update these terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of our services after the effective date constitutes acceptance.
